Tax compliance for corporations

We oversee the implementation of intricate national and international structures in both financial statements and tax returns, represent your interests in tax audits and assist you in appeal and tax court proceedings. In transactions, we identify tax risks as part of a tax due diligence.

Compliance & Declarations

Complex matters — such as purchase price mechanisms and their accounting treatment, restructurings, post‑merger integrations, and international structures — require precise tax returns. Drawing on our many years of experience at major law firms, we manage these issues proactively and implement them in a consistent and audit‑proof manner.

Our services:

  • Preparation of the annual financial statements and all necessary tax returns:
    • of corporation tax and business tax returns
    • Advance sales tax returns and annual sales tax return
    • Capital gains tax returns
  • Submission of all reports regarding foreign investments (e.g. Section 138 (2) German Tax Act)
  • Classification of foreign companies for German tax purposes
  • Calculation of German CFC amounts and submission of respective returns in accordance with the German Foreign Tax Act

Corporate Income Tax Groups

Corporate Income Tax Groups are crucial for both corporate and acquisition structures. These are also regularly the focus of tax audits. We are familiar with all typical topics, in particular:

  • Corporation and trade tax returns of all group companies
  • Review and, if necessary, reliable documentation of the actual implementation of the profit and loss transfer agreement
  • Verification of excess or reduced charges

Tax due Diligence

When corporations, investors, family offices, funds or private individuals consider acquiring a corporation or a company opting for corporate income tax, tax due diligence must take into account the peculiarities of the legal form and present the significant risks.

Our services:

  • Due diligence reports for buyers or sellers
  • Red flag reports for time-critical projects
  • Second opinions or reports, in particular on critical issues (in particular VAT and corporate income tax groups)
  • Post-closing integration into declaration and documentation — in particular of complex issues such as earn-out regulations, purchase price allocation and seller repayment

Frequently Asked Questions

How much does the initial consultation cost?

Our initial consultation is always free of charge. During this meeting, we will assess your situation and discuss whether and how we can support you moving forward.

How do you calculate the fees for financial accounting, annual financial statements, and tax returns?

We charge a flat fee for these services, which is based on the size and complexity of your business or assets. This ensures that your costs are transparent and clearly defined. We invoice this flat fee on a monthly basis.

How is billing handled for more extensive advisory services (e.g., representation in tax court proceedings or transaction consulting)?

Any additional consulting services are billed at an agreed hourly rate. Before we begin any work, you will receive a cost estimate that requires your approval. This ensures that you are never "surprised" by an invoice.

Can you assist me with international matters?

We would be happy to help. We have a network of consultants for international matters. If you wish, we can handle the coordination, allowing you to keep us as your sole point of contact for all your international activities.

What happens if legal or other questions arise for which you are not the right point of contact?

We have a network of specialized colleagues who can support you with any issue – from business valuation experts to attorneys across all practice areas.
